Club Constitution1. Name
The club shall be known as the "Llandudno Chess Club".
2. Function
The aims of the Club are to promote and facilitate chess activity for people in Llandudno and the surrounding areas and encourage social interaction amongst the membership.
3. Management
The activities of the Club shall be organised and managed by a committee of three elected Club Officers (Chairperson, Secretary and Treasurer) and also up to three other adult members, as deemed necessary and appropriate.
4. Club Season
The Club season shall normally run from late August/early September to the end of May of the following year. The Club shall normally be closed during the summer months (June, July and August) but the Committee shall be free to continue conduct any necessary business of the Club.
5. Annual General Meeting
An annual general meeting (AGM) of all club members shall be arranged by the committee, and held normally at the commencement of each season. All club members shall be notified in advance of the AGM and a proposed agenda circulated. Suggested additions or amendments to the proposed agenda may be forwarded in advance of the AGM in writing to the Secretary.
6. Voting Rights
Adult members with fully paid up subscriptions are eligible to vote at meetings. Adult members who have paid their full subscription for the immediately proceeding season shall retain their membership and voting rights up to the end of December in the new season. Thereafter voting rights shall be rescinded pending full payment of subscription.
7. Membership Rights
The Club reserves the right to refuse entry and to rescind membership by majority vote of the Committee.
8. Election of Club Officers and other Committee Members
club Officers and all other committee members shall be re-elected annually at the AGM. Nominations may be made either at the AGM or prior to the AGM in writing to the secretary.
9. Qualification for Committee Membership
Any adult member, whose nomination is proposed and seconded by two other members with voting rights, is eligible for election as a committee member.
10. Resignation of Committee Members
Club officers and all other committee members be required to offer their resignation if they cease regular association with the club.
11. Vacancies
The Committee may fill vacancies as these arise by co-option until the next AGM.
12. Committee Meetings
Closed meetings of the committee may be arranged as necessary for the purposes of organisation and management of the Club.
13. Quorum
No business of the club shall be transacted at committee meetings unless all the committee members have been properly notified of the meeting, and a quorum of committee members is present; such a quorum shall be 50% of the committee and include at least one of the club officers. In the event of a split vote, the decision of the Chairperson shall be final.
14. Special General Meetings
A special general meeting of the club may be arranged either by the Committee or by request being made in writing to the Secretary by six adult members or two-thirds of the adult membership (whichever is the smaller, and all counted with full voting rights).
15. Meeting Procedure
All meetings of the Club and of the Committee shall be governed by recognised rules of committee procedure and subject to adjudication by the Chairperson. Meetings shall be minuted.
16. Bank Accounts
Appropriate bank accounts shall be operated in the name of the Club. The accounts and other relevant records of the Treasurer shall be reviewed annually by two other Committee members, and a balance sheet submitted by the Treasurer to the AGM. Withdrawals shall be made on the signature of two nominated Club Officers (i.e. two out of the Chairperson, Secretary and Treasurer).
17. Subscriptions
Subscription rates shall be reviewed and set annually at the AGM. The appropriate subscriptions for each season shall be due immediately after setting of the subscription rates at the AGM. Upon payment of subscriptions full membership is valid until the close of the season.
18. Expenditure
The expenditure of money shall be decided upon by the Committee and the funds applied to the stated function of the club.
19. Alterations to the Constitution
The Constitution shall not be amended except by resolution passed at an AGM or SGM. Amendments to the constitution shall be proposed and seconded in writing and forwarded to the secretary at least 14 days before the AGM/SGM. Notification of an AGM/SGM at which any amendments to the constitution are proposed shall be forwarded by the Secretary to the Club membership, by letter or e-mail dated at least 7 days before the date of the AGM/SGM.
20. Any Other Matters
Any other matters not explicitly provided for in the constitution and concerning the organisation and activities of the club, shall be dealt with by the committee in the best interests of the Club and its membership. The Committee's decision will be final.
21. Dissolution of the Club
The Club may be dissolved by resolution passed at an SGM called for this purpose. Such resolution may give instructions for the disposal of any assets remaining, after satisfying any outstanding debts and liabilities. These assets shall not be distributed among the members of the club, but will be given to a proper person or club that will use them for the benefit of chess players within North Wales.
